1. Acceptance of Terms
By accessing or utilizing the proprietary digital showroom and trading platform ("the Platform") provided by S.RONEN DIAMOND LTD ("the Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. This agreement constitutes a legally binding contract between you and the Company.
If you do not agree to these terms in their entirety, you must immediately cease use of the Platform. The Company reserves the right to update or modify these terms at any time without prior notice. Continued use of the platform after any such changes indicates your acceptance of the new terms.

2. Eligibility & KYC Compliance
Access to the Platform is strictly limited to verified members of the B2B diamond trade, including but not limited to registered jewelers, wholesalers, and certified trading entities.
To establish an account and transact, you must comply with strict Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations. You must provide verifiable proof of your business registration, ultimate beneficial ownership (UBO), trade references, and compliance with all relevant international diamond trading protocols, including the Kimberley Process Certification Scheme. Failure to provide satisfactory documentation will result in immediate termination of platform access.

3. Diamond Regulations & Certification
All transactions conducted through the Platform are subject to rigorous verification. The Company guarantees that all diamonds listed are ethically sourced, conflict-free, and comply strictly with United Nations resolutions.
Conflict-Free Diamond Guarantee & Kimberley Process ComplianceThe Company guarantees and warrants that all diamonds offered on the Platform are conflict-free and ethically sourced. We strictly adhere to the Kimberley Process Certification Scheme (KPCS) and the World Diamond Council System of Warranties. By buying or transacting with us, you are guaranteed that all diamonds have been purchased from legitimate sources not involved in funding conflict, and in compliance with all relevant United Nations resolutions. We hereby state that we do not, and will not, buy or sell diamonds originating from conflict zones or from sources associated with human rights abuses.
Gemological Certification DisclaimerUnless otherwise specified, all stones are accompanied by recognized grading reports (primarily GIA, HRD, or IGI). The Company provides these third-party certificates for informational purposes. However, gemological grading is subjective and may vary between laboratories or upon independent review. The Company expressly disclaims any liability for discrepancies in grading interpretations or errors contained within third-party laboratory reports.
Insured LogisticsShipping and insurance protocols are managed via our approved secure logistics partners (such as Malca-Amit or Brinks) under high-security guidelines.

4. Pricing & Invitation to Treat
All pricing, inventory listings, and diamond availability displayed on the Platform do not constitute a legally binding offer to sell. Rather, they represent an "Invitation to Treat."
Prices are listed in USD and are subject to immediate change based on international diamond market fluctuations, currency exchange rates, and availability. No contract of sale is formed until the Company explicitly accepts your purchase order and issues a formal commercial invoice. The Company reserves the right to refuse or cancel any order for any reason, including but not limited to listing inaccuracies, technical errors, or failure to meet KYC compliance.
Typographical, Technical, and Clerical ErrorsWhile we make every effort to ensure the accuracy of our digital showroom, the Platform may contain typographical errors, pricing inaccuracies, or clerical mistakes regarding gemstone specifications (including carat weight, color grade, intensity, clarity, cut, or certification report numbers). The Company reserves the right, at its sole discretion, to correct any errors, inaccuracies, or omissions, and to change, update, or cancel any listings, offers, inquiries, or transactions at any time without prior notice, even after an inquiry or offer has been submitted or a transaction has been initiated. In the event of a cancellation due to such error, your sole remedy is a refund of any payments actually received by us for that transaction.

5. Limitation of Liability & Warranty Disclaimers
To the maximum extent permitted by applicable law, the Platform and all contents, products, and services provided therein are offered on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.
The Company, its affiliates, directors, or employees shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform, purchase of any diamonds, or reliance on any information provided herein.
In no event shall the Company's total cumulative liability for any and all claims, disputes, or causes of action (whether in contract, tort, or otherwise) exceed the actual purchase price paid by you to the Company for the specific gemstone at issue, or one hundred US Dollars ($100 USD), whichever is greater.
While we strive for absolute precision in our gemstone imaging and specification data, slight variances may occur due to color display rendering differences, screen calibrations, and lighting. We strongly advise physical inspection during the agreed-upon viewing period prior to finalizing significant acquisitions.
No Investment or Financial Advice: Any information, articles, market analyses, or historical price indicators provided on the Platform are for educational and showroom purposes only. Gemstone values fluctuate, and past performance is not indicative of future appreciation. The Company does not provide investment, financial, tax, or legal advice, and you bear sole responsibility for evaluating any acquisitions.

6. Governing Law & Jurisdiction
These Terms, your use of the Platform, and any transactions resulting therefrom shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods.
Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms, including the validity, invalidity, breach, or termination thereof, shall be submitted to the exclusive jurisdiction of the competent courts of Ramat Gan / Tel Aviv, Israel.
International Consumer Notice: If you are accessing the Platform as an individual consumer from outside Israel, you acknowledge that we operate and administer the site from Israel. To the maximum extent permitted by the mandatory laws of your country of residence, you agree to submit any disputes to the exclusive jurisdiction of the courts of Ramat Gan / Tel Aviv, Israel.

7. International Shipments, Taxes & Customs Compliance
For all transactions involving international shipments (outside of Israel), the Buyer is solely responsible for compliance with all import/export regulations, customs laws, sanctions regimes, and anti-money laundering protocols of the destination country.
Customs Duties, Taxes, and Fees:Unless explicitly agreed otherwise in a signed commercial invoice, all listed prices are exclusive of VAT, import duties, customs clearance fees, insurance surcharges, or local taxes levied by the destination country. The Buyer is the importer of record and shall bear full responsibility for paying all such charges. The Company shall have no liability for shipments delayed, seized, or rejected by customs authorities due to the Buyer's failure to pay duties or comply with local import documentation requirements.
